Abstract У статті на підставі аналізу нормативних конструкцій, які регулюють процедури створення різних видів юридичних осіб приватного права, здійснюється спроба встановити правову природу адміністративних заборон окремим категоріям громадян бути засновником чи учасником юридичних осіб. Також надається характеристика типу адміністративно-правового регулювання вказаних відносин.
Administrative law establishes numerous restrictions for individuals who implement their rights in the areas of creation of legal entities of private law and possession of their corporate rights. However, neither the science of administrative law, nor the civil law science does not give answers about the nature of such restrictions. In turn, the lack of scientific basis of imposing restrictions, at least, is unacceptable gap of the administrative law doctrine. Therefore, this article attempts to explore the characteristics of the restrictions provided for by national law, and find out their administrative and legal nature. In particular, the author have been investigated regulatory structures that establish direct or indirect prohibitions for different categories of individuals to be a founder or a member of legal entities of private law. The attempts of determining the causes of the inclusion those prohibitions to the laws has been made. On the basis of this work, the author concludes that those limitations may have a different legal nature. They can be implemented either by limiting administrative active capacity, or by extracting the corresponding element of administrative capacity. In the first case the specified limit can be removed by the decision of the founder. In the second - without amending the legislation a person will never get the right to found another legal entity . Also on the basis of this work the author concludes that the administrative law does not provide at all the subjective right to establish a legal entity. Therefore proposed to include to the administrative law the right of relevant subjects for establishing a legal entity. Or, at least, to provide a rule that would set a relationship between the civil law to be the founder of the legal entity and the administrative law to apply on this occasion to the state registrator.
